Agreement to Terms
By accessing or using the Percomb platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
If your organization has signed an order form or other written agreement with us (your "order"), it forms part of these Terms. Where your order conflicts with these Terms, your order governs.
Account Registration
Eligibility
- You must be at least 18 years old to use this Service
- You must provide accurate, current, and complete information
- You are responsible for maintaining account security
- You may not share your account credentials
Account Responsibilities
- You are responsible for all activities under your account
- Immediately notify us of unauthorized account access
- We reserve the right to terminate accounts that violate these Terms
Subscription and Payment
Plans
- Monthly plans run month to month and renew automatically unless canceled
- One up-front payment may be offered on a monthly plan, covering a stated number of months at a discount
- One-time purchases (a single deal) and annual licenses are as described on the pricing page
- Pricing is subject to change with 30 days notice; a change never shortens what you have already paid for
Payment Terms
- Payment is due at the beginning of each billing cycle, or in full for a one-time or up-front purchase
- An up-front payment covering a year (or any stated period) is non-refundable
- Other refunds may be provided at our discretion
- Failed payments may result in service suspension
Cancellation
- You may cancel a monthly or annual plan at any time
- Cancellation takes effect at the end of the current billing period
- No pro-rata refund for the unused part of a term, an up-front period, or a one-time purchase
Acceptable Use
You agree NOT to:
- Upload illegal, harmful, or malicious content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service for any unlawful purpose
- Violate any applicable laws or regulations
- Impersonate others or misrepresent your affiliation
- Spam, phish, or send unsolicited communications
- Reverse engineer or attempt to extract source code
Intellectual Property
Our Rights
- The Service and its original content, features, and functionality are owned by Thought Source Corp
- Our trademarks, logos, and service marks are our property
- You may not use our intellectual property without permission
Your Content
- You retain ownership of content you upload
- You grant us a license to use your content to provide the Service
- You represent that you have rights to the content you upload
- We may remove content that violates these Terms
Confidentiality
Your uploaded documents, findings, reports and derived analyses ("Customer Content") are your Confidential Information, whether or not marked as such.
- We use Customer Content solely to provide the Service, and for no other purpose
- We do not disclose Customer Content except to service providers bound in writing to confidentiality obligations no less protective, or where required by law (with prompt notice to you where lawful)
- We never use Customer Content to train machine-learning models — ours or anyone else's
- These obligations survive termination; on termination or request we delete Customer Content as set out under Effect of Termination
- The parties intend that this section satisfies requirements, in agreements between you and your counterparties, that service providers handling confidential information be bound by written confidentiality obligations. A countersignable Confidentiality Addendum is available from your organization's Legal settings
AI Analysis and Data Processing
Processing Boundary
- AI analysis runs on inference infrastructure operated for the Service, except where the platform routes a workload to a hosted model provider under our contract, in which case document-derived text for that workload is sent to that provider. We state which providers are in use, in writing, on request
- Model routing is configured by the platform operator for the whole deployment. Your organization cannot route its own workloads to an endpoint of its choosing, and no third party is given access to Customer Content other than as stated here
- We never use Customer Content to train machine-learning models
- You control who has access to your projects and analyses
No Reliance, No Professional Advice, No Warranty
- Service outputs are AI-assisted analysis tooling provided "as is" for informational purposes — they are not professional advice, and no party (including you) may rely on them as such
- We do not guarantee accuracy, completeness, or suitability for any purpose, and we owe no duty of care in respect of Service outputs
- You must verify Service outputs before acting on them
- Reports you produce with the Service are your work product: any duty of care toward your clients or third parties in respect of them is yours to grant or withhold (for example through engagement letters, reliance letters or non-reliance letters), and nothing in the Service implies that we underwrite your reports
- We are not liable for decisions made based on AI analysis
Outputs Without a Paid License
- Outputs produced while your account holds no paid license (for example, after a plan has ended) are for your internal evaluation of the Service only, and may not be used as, or represented as, professional advice or a diligence deliverable
- Such outputs carry a notice to this effect which may not be removed
Electronic Records and Signatures
You consent to transact electronically: records we present to you electronically, and your electronic acts of acceptance (such as clicking an acceptance button after conspicuous notice), have the same effect as paper records and handwritten signatures. We retain acceptance records — including the version and hash of the text accepted, and the time of acceptance — and will make your records available to you on request.
Service Availability
Uptime and Maintenance
- We work to keep the Service available and do not guarantee uninterrupted access. Availability commitments, where they exist, are stated in your order, together with the remedy for missing them
- We give advance notice of scheduled maintenance. We may perform emergency maintenance without notice when it is needed to fix a security issue or a fault affecting the Service
- Except as stated in your order, we are not liable for service interruptions
Changes to Service
- We reserve the right to modify or discontinue features
- We will provide reasonable notice of significant changes
- Continued use after changes constitutes acceptance
Your Data
- The Service is a workspace for analysis, not a records archive. Keep your own copies of the documents you upload
- You can download the documents uploaded to your projects at any time while your subscription is active
- We do not guarantee that Customer Content will not be lost, corrupted or made unavailable, and we do not undertake to back up or restore it unless your order says so
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OR CORRUPTION OF DATA
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS
Indemnification
You agree to indemnify and hold harmless Thought Source Corp from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload to the Service
Termination
By You
- You may close your account at any time by asking support; we confirm the deletion in writing
- Termination does not relieve you of payment obligations for the current period
By Us
We may suspend or terminate your account:
- For violation of these Terms
- For fraudulent or illegal activity
- If required by law
- At our discretion with 30 days notice
Effect of Termination
- Your access to the Service ends
- For 30 days after termination you may ask us in writing for a copy of your Customer Content, and we will provide it in a commonly used electronic format
- When those 30 days end, we delete Customer Content. If you ask us in writing to delete it sooner, we delete it within 30 days of your request
- Deletion does not extend to records that law requires us to keep
- Some provisions survive termination (e.g., confidentiality, indemnification, liability limitations)
Dispute Resolution
Governing Law
These Terms are governed by the law named in your order form, without regard to conflict of law principles. Where no order form names one, the governing law is that of the place where Thought Source Corp is established.
Arbitration
Any disputes shall be resolved through binding arbitration rather than court proceedings, except for:
- Small claims court matters
- Intellectual property disputes
- Injunctive relief requests
Class Action Waiver
You agree to resolve disputes individually, not as part of a class action lawsuit.
General Provisions
Entire Agreement
These Terms, together with your order if you have one, constitute the entire agreement between you and Thought Source Corp. Where your order conflicts with these Terms, your order governs.
Severability
If any provision is found unenforceable, the remaining provisions continue in full effect.
Waiver
Failure to enforce any right or provision does not constitute a waiver of such right.
Assignment
You may not assign these Terms without our consent. We may assign these Terms to any successor entity.
Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.

Amendments
We may update these Terms from time to time. Material changes will be communicated via:
- Email notification
- Platform notification
- Updated "Last Updated" date
Continued use after changes constitutes acceptance of the new Terms.
Tech DD Ready License Addendum

This addendum supplements the Percomb Terms of Service for purchases of the Tech DD Ready license. Where this addendum and the Terms of Service conflict, this addendum governs for that license.
1. What the license is
Tech DD Ready is a readiness product: it walks your team through the technology due diligence process and produces an automatically generated readiness report from the material you provide. It is designed for a company preparing for a buyer's or investor's diligence — not for performing diligence on another company.
2. Billing and term
The license is billed monthly and renews each month until you cancel; cancellation takes effect at the end of the month already paid. You may instead pay once, up front, for the period and at the discount shown at purchase. An up-front payment is non-refundable. Paying up front again extends the license from the later of the purchase date and its current end. When the license ends, your project and any issued reports remain readable, and the capabilities of the paid license end.
3. One project
The license covers one project. The material you upload, the request list you work through, and the report the platform produces all belong to that project.
4. The readiness report is not diligence evidence
The readiness report is generated automatically from the material you provide, without review by an analyst. It exists to prepare you: to show you what a diligence process is likely to find, so you can act before one begins.
The report must not be provided to a counterparty, investor, lender, or their advisors as evidence in, or a substitute for, a due diligence process. It is not an opinion, not an assurance engagement, and no one may rely on it in connection with a transaction. The license does not include sharing the report outside your workspace, and copying it out by any other means does not waive this section.
5. Report generation fair use
Report generation is metered: the license includes a stated number of generation runs per rolling 24 hours. Adding material between runs is unlimited — the next run picks up everything added since the last one.
6. Upgrades
You may move to another Percomb plan at any time. Amounts already paid for this license are not credited toward another plan unless a credit is stated at purchase. Optional capabilities offered alongside this license (for example, source code analysis) are one-time purchases scoped to this tenancy and end when the license ends.
7. Everything else
All other terms — privacy, acceptable use, confidentiality, liability — are as stated in the Percomb Terms of Service and Privacy Policy.
